Exclusive: ACORN Illegally Operating in Maryland
by Mike RomanLast week, we saw some pretty disturbing activities revealed in the undercover footage from ACORN Housing’s Baltimore office. By any measure of conduct, the actions of ACORN’s employees should never have happened. It turns out the actions shouldn’t have happened for another, very simple, reason: ACORN can’t legally operate in the state of Maryland.
According to the following documents, ACORN, Inc.–the parent organization of all things ACORN–forfeited its corporate charter in Maryland in 2006. ACORN Housing forfeited its corporate charter in 2008. Any ACORN office in the state of Maryland is potentially operating illegally.
The Maryland Attorney General has made noise about prosecuting the intrepid journalists who undercovered the misdeeds of ACORN employees. Perhaps he should focus instead on how ACORN was able to operate without a license in his state.

Beck played audio this morning from The James & Hannah Show in San Bernadino, which went over just as well as everywhere else. Plus, the ACORN rep tells them about shooting her husband and brags about all the local and national political figures that help out ACORN.
James and Hannah, you are my heroes! I have known about the corruption of ACORN for YEARS, and have been so frustrated that they continue to receive federal dollars. God bless both of you for your great contribution to the Republic. And Hannah, my children are homeschoolers too, and I only hope they have the courage that you have.

The professionalism and invetigative nature of this story has removed all doubts that the blowhards at NYT, NBC, CBS, ABC are really junior school cub reporters, if that. They are a joke. I don't know how they can look in the mirror and still convince themselves that they are professional reporters. They are stooges, shills, puppets … jokes. I am sure that there are a couple of them that are closet Americans … but I guess job security is more important than integrity. A shame.
FWIW, these sorts of charter problems are very common with nonprofits and extremely quick and easy to fix. The lack of authority between charter revocation (usually due to not filing some simple paper) and the reinstatement raises some questions, but not really criminality questions.
Someone could challenge, I suppose, the expenditure of federal grants without proper authority in Maryland.
This type of problem is so common, I would be really surprised if Maryland is the only state in which ACORN is not properly currently registered.

Beck had audio this morning of ACORN worker Tresa who says she used run a brothel, her boss is a pole dancer and she meets every day with congressmen and senators and proceeded to list a bunch of Dems, including Boxer. The worker Tresa, says she went to a couple of shelters and told folks that her husband abused her, then one day she shot and killed him, but she says he wasn't abusing her at the time but she shot him anyway.
I believe that the laundering is going to flow right to the DNC and the White house much like Watergate did. There will have to be an invesgitation by the feds under the rico law.
When you order a document from the state they always date it on the date it is reproduced. The standing as of that date is what is important. So as of November 2006 they lost their good standing and as of Sept 15th, that status has not changed. So, who knows where this will lead, but I am sure this will not turn out well for Acorn.

When was the Baltimore video made? I sense that there is a LOT of content we have yet to see, and it takes time to accumulate stuff this good. Is it possible the Baltimore visit occurred before ACORN lost its MD license? Like most criminal enterprises like this, there are likely some parts of this 'business' that are legitimate, or at least staffed out front by well-meaning employees who think they work for a legitimate business. That is how the enterprise keeps its cover. Too bad for the few (wherever they are) who really are helping their neighbors. Shame on the rest– put 'em all in prison. There should be some tax issues for ACORN now. If they are not in good standing, how are they reporting income to the state. Hmmm, I think ACORN should try to do a little housekeeping before they start pointing fingers and threatening lawsuits. I also heard that the tapingthat was done is probably not in violation of state law because it generally does not include video, only phone conversations. This was not a phone conversation. ACORN did call Hannah on the phone, but she did not record it.

See below the list of Senators who “didn’t vote” against ACORN funding bill yesterday. I think it’s irresponsible on their part to not stand up for their constituents and our tax dollars at this outrage.
And where were these guys (all of Congress) in rooting this out before a couple of “kids” had to go do their jobs for them. I find is hard to believe that with all these peoples years of "terms and experience” that a couple of “newbie’s” had to expose them to the hard and tough truth about ACORN. Hi Shelli. It is very normal when you get a document certified by the state that the state's certification is the date that it is sent out, namely, today, for this document. I order them all the time from many different states, and the decertification of Acorn was last November, but to order a copy of the document, as they did here, they got it this morning and posted it online.
Quick! Someone should register corporations under the ACORN and Acorn Housing names in Maryland! That would bar ACORN from ever being able to use those names in the state in the future.

Yes, I used to be a legal sec. This means that since '06 and '08 those two (ACORN & AHC) have been operating illegally. It was certified today (SEPT 15, 2009) by the the State of MD charter head. It's just that they got a current copy to cover their as*ses. They probably had this doc certified earlier. They got it re-done so that nobody could come back and say it was old and do a back-certification with false dates.

Legally it is a big deal. The Attorney General does have to enforce the law. When an organization's license is revoked they should be dispatching the State Police or whatever enforcement officers the AG uses to ensure these business do not continue to operate.
The ACORN, Inc license is interesting just because it was revoked in Nov2006. That's 30 months of operations without a license.
ACORN Housing Corp Inc was revoked on Nov 16, 2008, just weeks after the election. AHC is where O'Keefe and Giles first released their video.

The Senate voted 83-7 tonight to prohibit funds in the FY2010 Transportation-HUD Appropriations bill from going to ACORN.
Even after some really bad ACORN publicity, there are still 7 liberals in the Senate who want to shovel taxpayer funds to this criminal organization. Here are the ACORN-7:

I wrote to the MD Govenor yesterday:
You need to rein in your Attorney General's office. How could they represent justice yet release a press statement regarding the ACORN video possibility being obtained illegally but totally ignoring or mentioning any possibly that ACORN is possibly involved in illegal activities of a much greater magnitude? Do they even have their eyes open? Worse, could your Attorney General's office being connected to ACORN? You need to apologize for your State.
Now I'm going to write asking if the AG office is even competent. They may be worse than the DA in The "Duke" rape case.
According to the papers, ACORN Housing Corporation, Inc. lost the authority to do business in Maryland on Nov. 14, 2008, and ACORN, Inc., lost it on Nov. 16, 2006. The Sept. 15 date comes from this line:
"In witness whereof, I have hereunto subscribed my signature and affixed the seal of the State Department of Assessments and Taxation of Maryland at Baltimore on this September 15,2009."
They lost their ability to conduct business in 2006 and 2008, and the Sept. 15, 2009, date is when this Paul B. Anderson fellow signed the papers affirming that they're no longer in good standing.

I agree, it's not that big of a deal, unless someone else registers the names while ACORN is asleep at the switch. I worked for a business a few years ago that had many subsidiary LLCs in Maryland. One of our LLCs failed to renew its charter. This wouldn't have been a big deal, except the LLC was suing someone over a bad debt. The debtor's attorney was sharp, realized the corporate charter had expired, registered the name himself, and then had a field day in court when he could show that the LLC that was suing his client wasn't registered to do business in Maryland. Furthermore, since we couldn't just reinstate the corporation, we had to transfer the debt to another corporation in order to continue the lawsuit.
So, someone should quietly check out the corporate charters in all 50 states, and where they have expired, set up a rival corporation with the same name, then show up at ACORN's offices and demand that they stop doing business in the name of ACORN.
Well well well… I, quite honestly, am suprised Glen Beck didn't uncover this! He's been all over this like flys on [insert whatever you want here]! Could we all finally be seeing an end to this criminal organization? God, I sure the hell hope so!

Yes any money collected illegally by a company not authorized to conduct business can have its accounts frozen and assets seized until an investigation is complete. The problem arises with Acorn itself. Good luck getting the accounting books and an actual investigation started. Acorn is known for using an umbrella standard for covering its accounting records by putting its record keeping under different company names, that way if something such as this were to arise records can't be easily subpoenaed since the other company is not the one being investigated. Its kind of like the nut and shell game ..

A few months ago I investigated the "Recovery" program for those that were in danger of foreclosure …. the result of a nasty ex-wife who was determined to destroy her ex-husbands credit. Be that as it may, I discovered at that time that many of the "Counselors" set up in the Baltimore area were representatives of ACORN. The phone number to call had the word ACORN right next to it. I looked today and could find nothing like that anymore. the "recovery program' was of no help….surprise surprise. But i was stunned by the use of "ACORN by the state of Maryland….. still looking.
There needs to be an in-depth investigation. ACORN funding should be held until there is a clear analysis of said investigation. This is not unreasonable.

Actually, failure to qualify does not mean what you are doing is illegal in the state, but if you are "doing business" in the state, however the applicable law defines it, you are subject to paying fees for the years you failed to qualify and can also have your access to courts to sue other curtailed until you make up the arrears. Failure to qualify is another sign of poor oversight and bad governance, but will not make them subject to criminal penalties.

Having done monitoring as well as having that done in various nonprofits for which I have worked over the years here are some things to do to really finish Acorn off..it may take longer but do it.
1. Seek through Freedom of Information act or contacts in House or Senate..copies of contracts over the years between federal funding etities and Acorn…this is going to be quite convoluted as they have received moneies under various incorporations from more than one funding entity within the Federal government.
The Housing nonprofit national arm is the most obvious for HUD housing money can be tracked directly and followed back from periodic regular reports that should have been done by ACORN Housing and which should be public record.
Ugh, I don't know. When B.H. booted up there were some growing pains with Intense Debate but it's generally a great system when it gets tweaked. If you have to edit as much as I do, and fix spellings it's nice to have the edit feature. The volume is really something, B.H. is popular but people really want to chat about government, so that may be at the heart of the problem.

In many states (probably all, but I don't know about all of them), it is perfectly legal to operate a business without a valid certificate of incorporation or registration as a foreign corporation. The only consequence is that, if something goes wrong, they cannot turn to that state's courts for redress.

From a legal perspective, the loss of good standing by a corporation is simply not that big of a deal. It may arise from any number of omissions from failure to pay taxes to failure to file an annual report. The procedures for reinstating the entity to lawful status are usually relatively simple and can be accomplished within one day. I am a lawyer and it is far from unusual for a client to walk in with a forfeited corporation when its trying to buy real estate or engage in some other transaction. I would suggest that a high percentage of small businesses forfeit their charters at some point during their existence. This really is not that big of a deal.

I worked for ACORN for a few days in 1988 in the Chicago-area. They paid me for signatures, and they told me point blank, go get the signatures for nominating petitions, and they didn't care if the person was registered in the jurisdiction since no one is going to check them anyway. Funny how then candidate Obama challenged the petitions of his Democratic oppenent in his run for a seat in the Illinois General Assembly. Funny how the Chicago Tribune went after Obama's opponent in the 2004 US Senate Race.
